1. Acceptance of Terms

By accessing or using the ACESO AI platform ("Platform"), provided by Acesoai.com ("Company", "we", "us"), you agree to be bound by these Terms of Service. If you are entering into these terms on behalf of a hospital, clinic, or other legal entity, you represent that you have the authority to bind such entity to these terms.

2. Clinical Disclaimer

ACESO AI is a clinical documentation improvement (CDI) and revenue integrity tool. It is NOT a medical device and does not provide medical advice, diagnosis, or treatment.

The autonomous queries and suggestions generated by the Platform are intended to assist healthcare providers in ensuring documentation accuracy. The final clinical judgment and responsibility for patient care, coding, and billing remains exclusively with the licensed healthcare provider.

3. SaaS Services & License

Subject to these Terms, we grant you a non-exclusive, non-transferable, revocable license to access our AI-driven services including:

  • Autonomous Clinical Documentation Improvement (CDI) agents.
  • Direct-to-provider clinical query engines.
  • Revenue cycle analytics and retrospective audit tools.

4. User Responsibilities & Restrictions

You agree to use the Platform only for professional healthcare administrative and clinical purposes. You shall not:

  • Attempt to reverse-engineer the AI models or underlying logic of the ACESO Engine.
  • Use the Platform to create a competing product.
  • Upload data without proper authorization or in violation of patient privacy laws.

5. Data Privacy & HIPAA

The use of this Platform involves the processing of Protected Health Information (PHI). Our handling of such data is governed by our Privacy Policy and, for institutional clients, a separate Business Associate Agreement (BAA).

In the event of a conflict between these Terms and a signed BAA, the BAA shall control regarding the handling of PHI.

6. Intellectual Property

All AI algorithms, proprietary code, "ACESO" branding, and output formats are the exclusive property of Acesoai.com. Your use of the Platform does not grant you ownership of any underlying intellectual property.

7. Subscription Fees & Payment

Access to ACESO AI is provided on a subscription basis. Fees are non-refundable except as required by law. We reserve the right to suspend access if payments are more than thirty (30) days overdue.

8. Limitation of Liability

To the maximum extent permitted by law, ACESO AI shall not be liable for any indirect, incidental, or consequential damages (including loss of revenue or medical malpractice claims) arising from the use of the platform. Our total liability shall not exceed the amount paid by you for the service in the 12 months preceding the claim.

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms. Upon termination, your right to use the Service will immediately cease.

10. Governing Law

These terms shall be governed by the laws of [Your State/Country], without regard to its conflict of law provisions.
